GREGORY K. ORME, Judge: Capital General Corporation ("CGC") appeals the district court's affirmance of the Utah Securities Advisory Board's suspension
of all secondary trading exemptions of Amenity, Inc. stock. The Board concluded that CGC had violated the Utah Uniform Securities
Act by distributing 90,000 shares of Amenity, Inc. stock without registration. We affirm.
